These OutVoicy Terms of Service (these “Terms”) govern your use of and access to the OutVoicy website and application (collectively, the “OutVoicy Service”), which are provided to you by Nulia.US Corp. (“ Nulia,” “we,” “us,” or “our”).

By creating an account, accepting these Terms, or accessing or using the OutVoicy Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the OutVoicy Service.

1. Agreement to Terms

These Terms apply to all users of the OutVoicy Service. We may make changes to these Terms from time to time. The “Last Updated” date above indicates when these Terms were last changed. If we make material changes, we will provide notice, such as by sending an email or displaying a notice within the OutVoicy Service. Unless we say otherwise, amended Terms are effective immediately, and your continued use of the OutVoicy Service after notice confirms your acceptance of the changes.

2. The OutVoicy Service

OutVoicy is invoicing software that helps you create, send, and track invoices; manage client records; and generate PDF and emailed copies of your invoices. The OutVoicy Service is a tool for organizing and transmitting your own billing information — it does not review, verify, or guarantee the accuracy of any invoice, client record, or payment total you create.

3. Eligibility

The OutVoicy Service is intended for users who are at least 18 years of age and capable of forming a binding contract. By creating an account or otherwise accessing the OutVoicy Service, you represent and warrant that you meet these requirements. If you use the OutVoicy Service on behalf of a business or other entity, you represent that you are authorized to accept these Terms on that entity’s behalf, and “you” will refer to both you and that entity.

4. Accounts

You must create an account to use most features of the OutVoicy Service. You agree to provide accurate account information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized use of your account.

5. Subscriptions, Fees, and Billing

Certain features of the OutVoicy Service require a paid subscription (a “Subscription Plan”). Subscription payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on file for the applicable subscription fees on a recurring basis (typically monthly) until you cancel. Subscription Plans automatically renew at the end of each billing period unless cancelled beforehand through the Stripe Customer Portal, accessible from your account settings.

Fees are non-refundable except as required by law or as we expressly state at the time of purchase. We may change subscription pricing or plan features on a going-forward basis by providing notice before your next renewal; continued use of the OutVoicy Service after a price change takes effect constitutes acceptance of the new pricing. If a payment cannot be processed, we may suspend access to paid features until payment is resolved.

6. Free Plan and Usage Limits

We offer a free plan with limited usage (including a limited number of invoices per month) and PDF exports that include an OutVoicy watermark. We may change free-plan limits and features at any time. Upgrading to a paid Subscription Plan removes the watermark and unlocks additional features as described on our pricing page.

7. Your Content

You retain all ownership rights in the invoices, client records, business information, logos, and other materials you submit to the OutVoicy Service (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and transmit Your Content solely as necessary to provide and maintain the OutVoicy Service, including generating and emailing PDF invoices on your behalf. You are solely responsible for Your Content and for ensuring you have the rights necessary to submit it, including any personal information about your clients.

8. Acceptable Use

You agree not to: (a) use the OutVoicy Service for any unlawful purpose or to create fraudulent, deceptive, or misleading invoices; (b) impersonate any person or entity or misrepresent your affiliation with any person or entity; (c) attempt to access another user’s account or data without authorization; (d) upload viruses or malicious code; (e) reverse engineer, scrape, or interfere with the OutVoicy Service or its infrastructure; or (f) resell or provide access to the OutVoicy Service to third parties without our written consent.

9. No Accounting, Tax, or Legal Advice

OutVoicy is software for creating and organizing invoices. It is not an accounting firm, tax preparer, or law firm, and it does not provide accounting, bookkeeping, tax, or legal advice of any kind. Nothing in the OutVoicy Service constitutes professional advice regarding your tax obligations, financial reporting, or business compliance. You are solely responsible for the accuracy of the amounts, tax rates, and terms on any invoice you create, and for consulting a licensed accountant, tax professional, or attorney regarding your specific business and legal obligations.

10. Intellectual Property; Limited License

The OutVoicy Service, including its software, design, text, graphics, and trademarks, is owned by Nulia.US Corp. or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the OutVoicy Service for your own business purposes. All rights not expressly granted are reserved.

11. Third-Party Services

The OutVoicy Service relies on third-party providers, including Stripe for payment processing, PDF generation services for invoice exports, and email delivery providers for sending invoices to your clients. We do not control these third-party services and are not responsible for their availability, performance, or errors. Your use of any linked third-party service is subject to that provider’s own terms and privacy policy.

12. Feedback

If you send us feedback, suggestions, or ideas about the OutVoicy Service, you agree that we may use and exploit that feedback for any purpose, commercial or otherwise, without any obligation or compensation to you.

13. Disclaimers

THE OUTVOICY SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE OUTVOICY SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOU USE THE OUTVOICY SERVICE AT YOUR OWN RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NULIA.US CORP. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE OUTVOICY SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE OUTVOICY SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE SUBSCRIPTION FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Nulia.US Corp. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the OutVoicy Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party, including your clients.

16. Term and Termination

You may stop using the OutVoicy Service and close your account at any time. We may suspend or terminate your access to the OutVoicy Service, in whole or in part, at any time if we believe you have violated these Terms, with notice where practicable. Upon termination, your right to use the OutVoicy Service ceases immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the OutVoicy Service will be resolved through binding individual arbitration administered by the American Arbitration Association, except that either party may bring an individual action in small claims court. YOU AND NULIA. US CORP. EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing us through our contact page. To the extent any dispute is not subject to arbitration, the state and federal courts located in Laramie County, Wyoming will have exclusive jurisdiction, and you consent to venue there.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and, where appropriate, provide additional notice. Your continued use of the OutVoicy Service after changes take effect constitutes your acceptance of the revised Terms.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. These Terms constitute the entire agreement between you and Nulia.US Corp. regarding the OutVoicy Service and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction. Communications and transactions between us may be conducted electronically.
